JOB SUMMARY:

The Corporate Governance and Securities Counsel will oversee securities and corporate governance matters for the Company and the Board of Directors.

RESPONSIBILITIES & KEY ACTIVITIES:

  • Assist in managing the Company's public company reporting and regulatory obligations (i.e., Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Proxy Statements, etc.)
  • Stock exchange rules requirements
  • Experience working with the U.S. Securities and Exchange Commission (SEC), Department of Treasury and Department of Justice
  • Supporting and advising the Board of Directors and overseeing other corporate governance matters
  • Preparing documentation for meetings of the Board of Directors and its Committees
  • Preparing VinFast's SEC and other regulatory filings
  • Managing Annual Shareholders' Meetings and assisting in the preparation of Earnings Calls.
  • Assisting Environmental, Social & Governance (ESG) team in preparing VinFast's Corporate Responsibility Report and working on other ESG initiatives.
  • Collaborate with U.S. and Global legal teams to provide accurate and timely counsel on a variety of legal topics including compliance, commercial agreements, licensing and permitting, insurance, logistics, marketing, sales, and service.

 
Position Requirements

MINIMUM REQUIREMENTS:

  • 5+ years of experience in Securities, Corporate Governance, general corporate and commercial matters
  • Juris doctorate (JD) degree
  • Member of the California or New York Bar, or can qualify for the California in-house exception
  • Experience representing clients in a fast-paced and challenging industry with a well-established law firm preferred.
  • Strong interpersonal skills with ability to communicate and manage well at all levels of the organization.
  • Ability to work under pressure and with tight deadlines.
  • Executive presence, confidence, and enthusiastic attitude.
  • Meticulous and thorough attention to detail.
