Job Summary
This position reports to the Senior Vice President - Chief Legal Officer and is responsible for providing analysis and counsel on general legal matters. In this role, you must be able to recommend and develop company policy and position on a variety of legal issues and provide counsel to managers and officers on legal matters impacting their areas of responsibility. To ensure success you must have sound knowledge and understanding of applicable laws and regulations, the ability to make prudent legal decisions, and be a team player with outstanding advocacy and communication skills.
Essential Functions
Advise executives and management on various legal matters, including issues of a highly sensitive and complex nature.
Handle a wide variety of general corporate transactional matters, including life insurance compliance, SEC filings, statutory filings, tax inquiries, employment law, and corporate governance.
Play an integral role in drafting, reviewing, and administering company products.
Draft and review material and forms related to company products.
Perform a variety of tasks related to fixed and fixed indexed annuities, including contract form review, advertising review, illustration drafting and review, and general regulatory compliance.
Manage complex litigation, including management of outside counsel during each stage of litigation.
Conduct and coordinate research into a variety of legal issues with high levels of risk exposure to the company.
Develop and recommend company policy and procedures and manage implementation of required changes.
Review and negotiate contracts with outside vendors.
Perform legal research and writing on complex matters.
Supervise and assign projects to support staff.
Represent the company to administrative and regulatory bodies at state and federal levels, and interact with regulators directly on a routine basis.
Perform other duties as assigned by the Chief Legal Officer.

Education & Experience
Juris Doctor degree from accredited law school
5+ years of experience specifically with fixed and fixed indexed annuities (tasks described above)
12+ years practice with an established law firm or in a corporate legal department (internal legal department preferred)
Prior life insurance company experience from an issuer company is highly preferred
Prior broker/dealer experience is preferred
Work Environment
This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets, and fax machines.
Regular and predictable attendance is required.
