Job Summary:  The Assistant General Counsel and Assistant Secretary will routinely be responsible for a broad range of matters, including business transactions, public company SEC filings, corporate, commercial contracts, trademark and intellectual property, real estate, environmental, consumer product advertising, employment and benefit law matters and dispute resolution.  The successful candidate will already have a solid foundation in advising a public company, and have a desire to work in a fast-paced environment involving a wide variety of different areas of law.

Essential Functions:

  • Drafting and advice in connection with federal securities laws and corporate governance matters, including Securities and Exchange Commission filings, corporate disclosures, international foreign entity maintenance, Board of Directors communications, and Section 16 compliance
  • Primary drafter and contact with outside counsel on annual proxy statement preparation
  • Advisor to business regarding product labeling and other marketing materials
  • Negotiation, drafting and advice in connection with employee benefit plan compliance matters
  • Negotiation, drafting and advice in connection with business contracts and other transactional matters
  • Drafting and advice in connection with corporate policies and procedures, as well as client education initiatives
  • Other related functions in accordance with Legal’s workload

Position Requirements
  • Juris Doctor from an accredited U.S. law school; strong undergraduate and law school credentials
  • Admission to the Illinois Bar
  • At least six years of experience advising public companies either in a law firm or an in-house legal department
  • Principal practice area in (a) business transactions, (b) federal securities laws  and corporate secretary functions; ancillary experiences in employee benefits laws, environmental matters, or real estate is very desirable
  • Strong communication skills (written and oral); ability to operate effectively within small department with limited outside legal budget

Proficiency in Microsoft Outlook and Word; proficiency in Microsoft Excel and PowerPoint is highly desirable
