Your role at MOBE

This position is responsible for leading the corporate legal function. The General Counsel, Secretary and Chief Compliance Officer provides leadership with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. This position is directly involved in complex business transactions in negotiating critical contracts, as well as day-to-day legal needs. The position also oversees MOBE's Security & Compliance function, which includes HIPAA compliance and HITRUST Certification.

Responsibilities

  • Lead corporate legal function for all entities, including operating company and reinsurance subsidiaries
  • Create and maintain a legal operating structure that aligns with the business' top priorities and oversee company's legal budget
  • Provide leadership with effective advice on company strategies and their implementation and related risks
  • Obtain and oversee the work of outside counsel
  • Directly involved in complex business transactions and negotiating critical contracts, including financing arrangements, client contracts, technology and service contracts, and Business Associate Agreements
  • Manage the company's capitalization table and oversee any equity transactions or capital raises, including management equity grants
  • Manage all corporate governance for the company, attend Board of Directors meetings and act as Corporate Secretary
  • Oversee MOBE's regulatory landscape including research to interpret laws, rulings and regulations and determine how MOBE may conduct and grow business within them, including applicable health care regulations and licensing.
  • Work closely with Director of Human Resources on employee relations and employment law issues
  • Oversee MOBE's Security and Compliance function, which includes data security and privacy, HIPAA compliance and HITRUST Certification
    • Manage Director of Security and Compliance
    • Act as Chief Privacy Officer
  • Oversee MOBE's insurance and risk-management program including oversight of Risk and Compliance Committee
  • Other duties as assigned to help drive to our Vision, fulfill our Mission, and abide by MOBE's Guiding Principles
 
Position Requirements

Qualifications

Required:

  • Juris Doctorate from an accredited law school
  • Licensed attorney of law in Minnesota
  • A minimum of ten years of a broad range of relevant experience
  • Experience as an in-house lawyer law and/or experience working at a law firm
  • Must be able to articulate a point of view clearly and concisely
  • Excellent negotiation skills resulting in win-win outcomes
  • Must be comfortable taking risks
  • Willing to challenge the status quo and consider all options
  • Ability to manage multiple projects in a fast-paced, hands-on environment

Preferred:

  • In-house experience
  • Familiarity with the health insurance industry
  • Desire to be a part of an organization looking to transform health culture
