General Description

Davaco LP is searching for an experienced Contracts Administrator. We need an exceptionally responsible candidate with great communication, analytical, and negotiation skills. The Contracts Administrator will support the Legal Department in construction contract management and administration and other duties as assigned. Handles or assists in handling diverse, complex, and challenging matters related to policies on issues related to the construction industry, corporate governance, and regulatory matters.

Responsibilities

  • Lead and direct the administration of various contracts including but not limited to, confidentiality agreements, MSAs, amendments, subcontracts, vendor agreements, change orders, employment agreements, term sheets, and general correspondence. Such administration will include tracking status of contract negotiations and maintenance of contract database.
  • Review Subcontractor exceptions / qualifications on the Company’s Master Subcontract Agreement (MSA), Subcontractor Agreements and / or Contractor Service Agreement (CSA) documentation.
  • Identify concerns with indemnity clauses, guarantees and other provisions; review insurance and indemnity requirements in contracts and coordinate with project coordinators and project managers regarding appropriate insurance terms with respect to design and construction arrangements at the direction of corporate counsel.
  • Work with project managers and accounting group on managing mechanics lien requirements on projects, namely: prepare and issue client letter advising of pending lien(s); file lien(s) and lien releases with appropriate jurisdictional authorities; arrange for lien bonds as and if required; provide legal support on any client or subcontractor payment or accounts receivable issues including preparing demand letters.
  • Provide support to corporate counsel in managing in-house litigation and claims, collections, risk management, corporate insurance portfolio, nationwide licensing, and corporate compliance.
  • Assist corporate counsel in managing relationships with outside counsel where required.
  • Assist with underwriting risk and compliance with respect to potential projects, business relationships, and new contracts.
  • Assist with and track entity management for the US and Canada.
  • Write policy and/or procedure documents as assigned.
  • Assist in identifying continuous improvement opportunities, particularly in contract management and administration
  • Support the CFO with internal and external audits.
  • Other duties as assigned.

Education and Experience

  • This position requires a bachelor’s degree. A background in a corporate legal department and the construction industry is preferred.
