Description

Reporting to the Manager, Grants, Contracts & Awards, the Contracts Specialist will support the Grants, Contracts & Awards Office by overseeing and completing contracts processes including the drafting, reviewing, negotiating and executing of contracts while ensuring compliance with all appropriate policies and regulations on behalf of Holland Bloorview. 

In addition, under the administrative direction of the Vice President, People & Corporate Services and/or Chief Financial Officer, the Specialist will provide specified consulting, drafting, educational and review services to Holland Bloorview hospital departments on contracts processes not otherwise overseen by the hospital's supply chain service provider, Plexxus.
 

KEY RESPONSIBILITIES

  • Act as institutional contract expert and provide guidance and advice to staff, students and senior management regarding contracts, contract processes, risks and rewards
  • Draft, negotiate and execute a variety of complex contracts in collaboration with hospital stakeholders. Contracts may include, but are not limited to: data transfer agreements, collaboration agreements, clinical trial agreements, license agreements, inter-institutional and affiliation agreements, participant referral agreements, contracts with commercial vendors, program service agreements, memorandums of understanding and non-disclosure agreements
  • Plan and coordinate meetings with internal and external contacts for the purpose of negotiating contracts
  • Ensure and enforce compliance with hospital policies, collective agreements and procedures
  • Review and analyze research protocols, budgets, funding guidelines and accompanying contracts to ensure requested contracts are appropriate and identify any intellectual property which must be protected and potential liability which may arise
  • Act as liaison between the hospital and external counsel when necessary 
  • Work closely with other members of the Grants, Contracts & Award Office to ensure all funding agency, internal and external financial, and HR policies and procedures are accurately reflected and represented in contract processes and execution
  • Connect with members of the Office for Human Protection to ensure all privacy and ethical policies and procedures are accurately reflected and represented in contract processes and execution
  • Connect with the Director of Commercialization to ensure all hospital intellectual property policies are accurately reflected and represented in contract processes and execution
  • Work closely with Holland Bloorview hospital internal clients on select hospital contracts and matters of contract escalation as well as insurance protection, indemnification and liability conditions
  • Develop and present education materials, tools and resources which support the understanding of contract requirements and approval processes for hospital staff and students
  • Maintain up-to-date knowledge of provincial, national and international regulations and policy in relation to research contract and provincial government procurement requirements (including, but not limited to, privacy and intellectual property laws and Supply Chain Ontario directives applicable to broader public sector organizations)
  • Inform and comply with internal filing and storage systems
     

MINIMUM KNOWLEDGE, SKILLS & ABILITIES

  • Licensed legal paraprofessional (paralegal, law clerk or equivalent designation) or equivalent academic designation and/or practical experience in an academic research contracts setting
  • Experience in health care research preferred
  • Knowledge of the theories, principles and practices of contract law, law's affecting healthcare research, indemnity, insurance, liability, waivers and contract management
  • Ability to interpret legislation and policy
  • Problem-solving, analytical, facilitation skills
  • Excellent attention to detail
  • Ability to establish priorities, multi-task and work under pressure
  • Strong communication skills (oral and written)
  • Strong negotiation skills
  • Excellent organizational and time management skills
  • Ability to work in a team environment as well as independently 
  • Experience interacting with various levels of an organization
  • Computer knowledge and competencies including but not limited to Microsoft Office suite and AdobeSign
