POSITION SUMMARY: BASIC FUNCTION

The Corporate Counsel, Commercial Contracts position provides a broad range of legal support on all contract issues for the business with a focus on MSAs, technology and commercial contracts, real estate acquisitions, commercial leasing and construction. This position reports to Senior Corporate Counsel and advises General Counsel as requested.

ESSENTIAL DUTIES AND RESPONSIBILITIES

  • Structure, review and negotiate a variety of commercial agreements including MSAs (client and vendor), complex commercial lease documents, vendor contracts, real estate contracts, construction agreements and other agreements involving a variety of complex and evolving issues
  • Interact with vendors, clients, internal NTT GDC Americas, Inc. departments and NTT corporate affiliates throughout the world
  • Respond promptly to the demands of an active sales team
  • Manage risk and ensure business and compliance needs are accurately reflected in agreement(s).
  • Advise company management of potential risks in contractual, regulatory, compliance, financial, and legal areas.
  • Assist with the development and implementation of contract procedures and templates to improve operational efficiency
  • Assists in drafting of routine corporate documentation

KNOWLEDGE, SKILLS, AND ABILITIES

  • Experience in commercial contract drafting and negotiations, including vendor contracts, complex commercial leasing, master purchase agreements and master services agreements
  • Experience in drafting real estate acquisition and construction contracts preferred
  • Experience with technology contracts a plus
  • Developed business acumen, and the ability to combine legal and business analysis and judgment in a practical manner.
  • Self-starter, well organized, effectively manages stress in a fast-paced environment and produces consistent, positive results under deadline pressure.
  • Ability to work well both independently and as part of a highly collaborative team
  • Excellent verbal and written communication skills.

EDUCATION AND EXPERIENCE

  • Juris Doctorate degree from an accredited law school.
  • Current member in good standing of the State Bar of California.
  • A minimum of 4 to 8 years' relevant legal experience at a law firm or in house.
  • Data center industry or technology industry experience a plus.
 
Position Requirements

PHYSICAL REQUIREMENTS

  • Primarily sitting, with some walking, standing, and bending.
  • Able to hear and speak into a telephone.
  • Close visual work on a computer terminal.
  • Dexterity of hands and fingers to operate any required computer keyboard, mouse, and other technical instruments.
  • Able to lift and carry up to 20 lbs.

WORK CONDITIONS

  • This position is expected to be remote with an occasional need to be on-site in a shared workspace.
  • Standard office environment.
  • Extensive daily usage of a computer or workstation.

SPECIAL REQUIREMENTS

  • Must be comfortable working in a fast-paced environment with shifting priorities.
  • Responsible to carry a cell phone and provide 24x7 support as needed.
  • Travel may occasionally be required mostly to other NTT Global Data Centers Americas, Inc. locations.
