This position will focus on advising the company on corporate legal issues including technology contracts,software licensing agreements, Reseller and Partner Agreements, data privacy and security, IP issues,as well as mergers,acquisitions and divestitures.
We are hiring a licensed lawyer (who has passed bar exam in any US State), with rights to reside and work within the United States, with a valid JD from a recognized US University.
Negotiating,drafting and closing cloud and software licensing and technology agreements and related matters such as subscription agreements, reseller and teaming agreements, subcontractor agreements, RFP responses, statements of work, direct and indirect licensing agreements, Cloud-based transactions, alliance/partnering agreements, enterprise software and support agreements, marketing agreements, and distribution/channel agreements.
Shepherding governmental opportunities through all stages of the contracting process from initial RFP response, to execution of the contract, to operationalizing the agreement.
Knowledge of and engagement with data privacy and data security-related issues.
Functional lead for the Company’s mergers and acquisitions process (overseeing diligence and document negotiation, and providing counsel on legal issues and integration matters) in collaboration with cross-functional teams and, as necessary outside counsel
Oversee a contract approval process, contractsdatabase, contract summaries, and a system for tracking contract performance after signing, and manage.
Support legal work for strategic partnerships and transactions, mergers and acquisitions and other bespoke commercial arrangements
Maintain legal, compliance, corporate governance, and other corporate records.
General corporate governance, including matters pertaining to regulated and non-regulated domestic and international entity governance.
5+ years of experience with commercial agreements;specifically technology/software including but not limited to SAAS agreements.
Extensive experience performing due diligence,drafting and negotiating transaction documents, coordinating cross-functional deal teams, and advising business stakeholders/executive management.
Proficient in commercial and contract law and have experience negotiating and drafting a variety of contracts including Cloud, licensing,collaboration and strategic transactions.
Proficient knowledge of legal issues specific to the Cybersecurity and Cloud Computing industry.
Draw on public sector and technology transactions experience to provide comprehensive legal guidance.
Deep knowledge and understanding of U.S. federal government procurement processes, laws, and regulations. Experience with federal contract vehicles preferred. Federal go-to-market counseling experience is a plus.
Strong written and oral communication skills, including the ability to collaboratively work cross functionally with internal teams including finance, sales operations, product management and engineering.
Excellent project management, negotiation, drafting and time management skills
