Description

As General Counsel at Ascentis you will provide in-house legal counsel on employment related matters, which may include, but are not limited to, human resources issues, wage and hour law, worker’s compensation, unemployment and other state agency claims, employee compensation and benefits, hiring and terminations, employment agreements and policy related issues, FMLA matters, and employment related litigation. What are the general responsibilities of the position?

  • Draft, review and negotiate customer contracts including software agreements, cloud-based agreements, services agreements, RFPs, consulting agreements and other technology related agreements
  • Provide legal support and guidance to the organization on a broad range of commercial, corporate and other transactional matters as required
  • Collaborate with internal clients at all levels to effectively minimize legal risk to the business while supporting and assisting in the achievement of the company’s business and strategic objectives
  • Develop a comprehensive understanding of the company’s business and business practices; engage in a participative and proactive style of legal practice in order to best serve internal clients
  • Work in collaboration with outside counsel
  • Ensure compliance with all applicable laws, regulations and policies
  • Identify and assess legal risks and opportunities within the employment area and advise accordingly
 
Position Requirements

What are we looking for in a candidate?

  • Minimum 5 years of legal experience required
  • Minimum 5 years of employment law experience - employee relations, hiring and terminations, discrimination, employment agreements and policy related issues, FMLA matters, and employment related litigation required
  • Juris Doctor degree required
  • Admission to the Bar of at least one state (preferably MN)
  • Experience drafting and negotiating sophisticated contracts, particularly with regard to commercial sales required
  • Prior experience with wage and hour law, worker’s compensation, unemployment and other state agency claims, and employee compensation and benefits
  • Prior experience in the areas of cloud technology agreements, data privacy and information security; ideally with the cybersecurity industry (e.g., digital certificate and PKI or similar industries)
  • Experience working with software agreements, including licensing, SaaS, hosting and managed services agreements
  • Experience with government RFP’s
  • Desire and ability to work in a fast-paced and highly challenging environment for a successful, growing company with very high expectations
  • Ability to work with cross-functional teams, take leadership role in driving solutions, and work under pressure to meet deadlines
  • Efficiently manage a large volume and variety of transactions in a global environment
  • Excellent business judgment with the ability to make decisions and give advice that demonstrates an understanding of overall business objectives
  • Superior written and verbal communication skills
  • Prior in house and/or channel experience is a plus
  • Knowledge of privacy and information security regulations a plus
  • Ability to travel 10% required
