POSITION SUMMARY: BASIC FUNCTION

Negotiates (a) large equipment purchase contracts and other vendor contracts, and (b) legal transactions for other internal departments.

Manager of the following Legal Department employees: Junior Attorneys, Legal Analysts, and Administrative Assistants.

Works with outside counsel to manage the acquisition of new properties.

Supports and reports to Corporate Counsel with corporate matters, transaction workload, contracts, research, and advice.

Interacts with vendors, customers, and internal RagingWire departments.

Handles sensitive situations tactfully yet firmly, being assertive without being adversarial, and taking unpopular positions when necessary, while maintaining trust and credibility.

Interacts with NTT corporate and affiliates throughout the world.

ESSENTIAL DUTIES AND RESPONSIBILITIES

Primary legal point of contact for RagingWire's Critical Facilities Design and Engineering (CFDE) and Critical Facilities and Operations (CFOps) departments for their legal matters and their required vendor contracts.

Establishes and keeps updated contract templates for all outsourced large equipment purchases. These contracts with RagingWire's supply base enable fast execution of new project activity at a competitive price.

Manages the process of acquiring new properties, whether it be (a) raw land, (b) land with buildings which will be converted to data centers, or (c) existing data centers.

Responds to complex inquiries from CFDE and CFOps regarding contractual obligations and commitments; ensures that contractual matters are addressed efficiently and promptly.

Manages RagingWire's construction insurance (primarily builder's risk and OCIP policies) and bonding.

Drafts, negotiates, and reviews other contracts.

Advises Corporate Counsel and company management of potential risks in contractual, regulatory, compliance, financial, and legal areas.

Coordinates and manages outside counsel and litigation and independent auditors as assigned by Corporate Counsel.

Oversees corporate governance issues as assigned by Corporate Counsel.

Responsible for ensuring required Board of Director and LLC consents are obtained in a timely manner.

Reports to and supports Corporate Counsel.

KNOWLEDGE, SKILLS, AND ABILITIES

Excellent verbal and written communication skills.

Strong experience in contract drafting, commercial terms, and negotiations.

Strong experience in client and vendor contracts, including service level goals and credits.

Developed business acumen, and the ability to combine legal and business analysis and judgment in a practical manner.

Strong proficiency with Microsoft (a) Outlook, (b) Word, and (c) Teams.

Self-starter, well organized, effectively manages stress in a fast-paced environment and produces consistent, positive results under deadline pressure.

Ability to work well both independently and as part of a highly collaborative team.

Flexibility, collegiality, and a commitment to professionalism.

EDUCATION AND EXPERIENCE

A minimum of 6 to 8 years' relevant legal experience at a law firm.

A minimum of 5 years' experience in drafting and negotiating high value, complex contracts.

Data center industry experience a plus.

Current member in good standing of the State Bar of California.

Juris Doctorate degree from an accredited law school.

PHYSICAL REQUIREMENTS

Primarily sitting, with some walking, standing, and bending.

Able to hear and speak into a telephone.

Close visual work on a computer terminal.

Dexterity of hands and fingers to operate any required computer keyboard, mouse, and other technical instruments.

Able to lift and carry up to 20 lbs.

WORK CONDITIONS

Standard office environment.

Occasional construction site environment requiring ability to safely navigate the project site.

Extensive daily usage of a computer or workstation.

SPECIAL REQUIREMENTS

Must be comfortable working in high security facilities, and a fast paced environment with shifting priorities.

Responsible to carry a cell phone and provide 24x7 support as needed.

Travel required of up to 10%, mostly to other RagingWire locations.
