Description

Perform paralegal responsibilities for the Legal department, including substantive legal work and administrative duties at the direction of the General Counsel. Works independently with minimal supervision, performs administrative duties including creating and preparing routing materials, transactional documents, proofreading, verifying, and editing all materials for extreme accuracy and clarity. Utilizes advanced computer skills to prepare complex correspondence, reports, charts, tables, graphs and forms. Uses discretion and judgment when screening visitors and telephone calls, and organizes workload to meet established priorities. Handles confidential information professionally and consistent with legal and ethical policies.

DUTIES AND RESPONSIBILITIES Indicate job responsibilities to be performed to accomplish the job functions)

  • Understands complex business-related legal documents including supply agreements, acquisitions and sale agreements, joint venture agreements, and service and vendor related agreements, and supports document management process.
  • Engages in corporate governance, including drafting board and stockholder resolutions, maintaining all corporate records, minute books and filing, maintaining entity history and corporate database.
  • Responsible for the acquisition of business licenses, annual renewals, and interacting with various Secretaries of State.
  • Assist attorneys with the preparation of documents for amendments, withdrawals, mergers, dissolutions of corporations, partnerships and/or limited liability companies.
  • Prepare and file certificates of formation, articles of incorporation, assumed names, fictitious names and d/b/a filings.
  • Assist attorneys with the completion of stock certificates; letters of opinion, and related documents.
  • Provide attorneys with assistance in the preparation for closing of various corporate transactions, including mergers and acquisitions.
  • Complete and file SS-4 Forms with the Internal Revenue Service for the purpose of obtaining Employee Identification Numbers (EINs) for corporations, partnerships, and or limited liability companies.
  • Assist with trademark clearance, registration, renewal and enforcement.
  • Generates various reports for audits and/or internal meetings.
  • Maintain project files and keep all matters updated and current.
  • Performs research and support activities to assist attorney.
  • Uses PowerPoint, MS Word, Excel and other programs in preparation of correspondence, documents and/or presentations; efficiently creates charts, graphs, tables and text slides; responsible for formatting consistency and accuracy on time-sensitive, high profile documents.
  • Establishes and maintains filing system; classifies, sorts and files correspondence, records, media clips and other documents.
  • Works independently to manage timing and action plans for completing department functions and preparing correspondence, reports and other documents ahead of need.
  • Coordinates meetings, calls and conferences.
  • Assist attorneys in the preparation of documents for amendments, withdrawals, mergers, dissolutions of corporations, partnerships and/or limited liability companies.
  • Create and maintain corporate minute books (hard copy and electronic versions)
  • Drafting, revising, and reviewing various contracts and transactional documents to ensure compliance with law and UGHS standards.
  • Develop rapport with staff of other UGHS entities to address concerns that are directed to the General Counsel.
  • Interact with senior management and members of the board and directors.

  • Attends mandatory hospital in-services on compliance
  • Keeps up with current rules, regulations, policies and Federal statutes his or her area.
  • Consistently strives to understand, anticipate and meet the needs of employees and administration at the hospital.
  • Participate in team projects as assigned.
  • Maintains professional growth and development through seminars, workshops, and professional affiliations to keep abreast of the latest trends in the field of expertise.
  • Takes responsibility to regularly update self on knowledge of department and hospital communication changes.
  • Reports to work on time and absences are not to exceed hospital standards.
  • Conducts job duties in accordance with members of the healthcare team.
  • Wears identification badge while on duty, uses computerized time system correctly.
  • Adheres to dress code, appearance is neat and clean.
  • Complies with legal and professional regulations.
  • Performs other duties as assigned.
  • Demonstrate the components of the hospitals core values of compassion, integrity and innovation.
  • Talks courteously and respectfully to all customers.
  • Consistently exhibits appropriate phone protocol (i.e. answers phone promptly and identifies self and department).

  • Safety/ Infection Control
  • Reports safety and environment hazards.
  • Demonstrates knowledge and skills necessary to respond to hospital and departmental police to fire drills, codes etc.
  • Demonstrates the proper utilization and maintenance of equipment according to operations manual and hospital/department policy.
  • Adheres to OSHA standards regarding Blood borne Pathogen regulations.
  • Follows all safety rules while on the job. Reports all accidents and corrects minor safety hazards. Communicates with peers and management regarding any hazards identified in the workplace.
  • Conducts job duties in accordance with members of the healthcare team.

 

 
Position Requirements

 

EDUCATION REQUIREMENTS (Indicate the educational requirements of the job; educational preference may also be listed)  

 

Minumum Qualifications: Must have a high school diploma. Some college and/or business education preferred.

 

EXPERIENCE REQUIREMENTS (Indicate job experience requirements)

  • 3+ years of Administrative Assistant experience supporting corporate office in administrative capacity and experience working in a legal setting is highly preferred.

  • High level of proficiency using Microsoft Word, Excel and PowerPoint required.

  • Outstanding organizational, interpersonal, and administrative skills.

  • Excellent attention to detail with the ability to multi-task.

  • Excellent telephone, writing, and proofreading skills.

     

    CERTIFICATES, LICENSES, SKILLS AND ABILITIES REQUIRED (Indicate all required licensed and/or certifications, include any required skills and/or abilities. You may also indicate any preferences)

     

  • Skills: Experience with word processing equipment and various other software programs, as well as a variety of other office equipment necessary to accomplish the job at hand.

  • Abilities:

    • Be a self-starter and have the ability to prioritize workload

    • Be able to work independently

    • Demonstrate exceptional organizational skills

    • Must be flexible and demonstrates the ability to adjust and redirect attention to details

    • Must have excellent verbal and written communication skills

       

      WORKING CONDITIONS (Include a description of the working conditions and/or environment)

      Primarily works in a medical office setting.

       

      Must be able to work in a stressful environment. Requires physical duties such as lifting (up to 35 pounds), pushing and pulling (up to 100 pounds), frequent standing, walking, balancing, stooping, bending, kneeling and reaching. Requires good visual and auditory acuity as well as good manual dexterity.
